Your cap table on FounderCatalyst is a vital tool for managing ownership and shareholder details.

If you have not yet completed onboarding, please refer to our comprehensive setup guide before making changes.

The video below walks through how to add, edit, and manage shareholders in your cap table.

This is NOT how you add investors to a funding round. Adding investors is done in Step 2 of the funding round process as shown here

Adding shareholders

To add a shareholder:

  1. Navigate to Cap Table from the left-hand menu.

  2. Scroll down to the Add Shareholder section.

  3. Select the most relevant option (for example: SPV, Existing Shareholder, or New Shareholder).

  4. Fill in the required details, including:

    • Personal details

    • Number of shares

    • Share class

  5. Click Add Shareholder.

  6. Once you’ve confirmed the details are correct, click Allocate Pending Shares.

This will send an invite to the shareholder to join the platform.

Checking Invite Status

You can check whether a shareholder has accepted their invite at any time:

  1. Navigate to People from the left-hand menu.

  2. Locate the shareholder in the list.

  3. Check the icon next to their name:

    • Orange envelope icon - Invite has been sent but not accepted

    • Green tick - Shareholder has accepted their invite

Editing shareholders

Important: A shareholder is not invited until their shares have been allocated in the cap table. Shareholders listed under pending allocation have not yet received an invite and can still be edited.

If the shareholder has been invited

Once a shareholder’s shares have been allocated and the invite has been sent:

  • You cannot edit their personal details (such as name or email).

  • You have two options:

    1. Remove and re-add the shareholder with the correct details, or

    2. Ask the shareholder to log in and update their details themselves from their profile

If the shareholder has NOT been invited

  1. Navigate to Cap Table.

  2. Find the shareholder.

  3. Click the three dots next to their name.

  4. Select Edit.

  5. Update details such as:

    • Name

    • Email address

    • Shareholdings

  6. Save your changes.

Changing shareholding details

Shareholding details cannot be edited directly once allocated.

Important: We strongly recommend confirming all shareholding details before sending invites.

To change shareholding information:

  1. Go to Cap Table.

  2. Find the relevant shareholder.

  3. Click the three dots → Delete.

  4. Confirm removal.

  5. Re-add the shareholder using the Add Shareholder section.

  6. Enter the updated shareholding details.

  7. Click Allocate Pending Shares.

Removing a shareholder

To remove a shareholder entirely:

  1. Navigate to Cap Table.

  2. Locate the shareholder.

  3. Click the three dots next to their name.

  4. Select Delete and confirm.

Carrying out a share split

To complete a share split:

  1. Navigate to Cap Table.

  2. Click Split Shares.

  1. Enter the split ratio exactly as filed with Companies House (for example, 1:1,000 or 1:10,000).

Before proceeding, ensure your SH02 form has been submitted to Companies House

After completing this check the nominal value is also correct in the Company section.

Editing company details

You can also edit company information by navigating to the Company section on the left-hand menu. From here, you can update:

  • General company details

  • Registered address

  • Correspondence details

When the Cap Table is locked

If a funding round has been locked for signing or closed, the cap table is locked, you will not be able to edit it directly.

To request changes:

  1. Navigate to Cap Table.

  2. Click Download CSV.

  3. Make the required edits.

  4. Submit the file via a support ticket, and our team will apply the changes.
