If you have investors or shareholders that want to sign documents offline for whatever reason then please raise a support ticket and provide the email address of each person you would like to be marked as an 'offline signer'.
Once someone is marked as an offline signer:
- They will not onboard onto the platform.
- We will not collect any details of this individual - ie address, national insurance number etc.
- The platform will assume they have signed all relevant documents when presented - each such document will have a signature block to allow the signatures to be collected offline. You are responsible for ensuring each document is signed and then collating those manually signed pages.
- The platform will assume that documents are signed when presented. This means that if the investor (and any founder(s)) are the only people to sign a document, we'll date it on the date that the document is produced.
- In a priced round, offline signers will need to sign: For Shareholders: The Subscription and Shareholders Agreement, a Shareholder Resolution. For Investors: The Subscription and Shareholders Agreement and the Disclosure Letter.
- You cannot integrate these signed pages into our platform and should keep these signature pages safely off platform.
- We will not be able to populate address details on the SEIS1/EIS1 spreadsheet - this will need to be undertaken manually for these 'offline' investors
- If relevant, we will not be able to produce SEIS3/EIS3 forms on the platform.
Once a person is marked as an offline signer, this cannot be reversed
FAQs
Why does a document for one person show another person’s name in the signature block?
If someone has been marked as an offline signer, their name will automatically appear in the signature block so you can collect their signature offline. This does not mean they have already signed; it simply reserves space for their manual signature. Online signers (those not marked as offline) will see their own signature block only when they log in and sign via the platform.
Can an online signer print out their document and sign it offline instead?
No. Online signers must complete their signing process through the platform. Offline signing is only available if you request it in advance by raising a support ticket.
Why does a downloaded document not show my online signer’s name or signature?
Online signers will only appear on the document after they have completed the signing process on the platform. Until then, their signature block is not applied. Once everyone has signed, the final executed document will contain all names and signatures.
Can offline signed pages be uploaded back into the platform?
No. The platform does not accept offline signature pages. You should securely store these manually signed pages outside of the platform.
Can an offline signer be changed back to an online signer later?
No. Once someone has been designated as an offline signer, this cannot be reversed.
