Introduction

We aren't going to cover here the platforms that charge you upfront fees to match you with investors with a shocking success rate, the angel clubs that charge upwards of £2k to pitch with no certainty of outcome or the SEIS funds with toxic termsheets. Those are 'buyer beware', for sure, but the follo

We don’t name any specific ‘investor’ names here, because by their very nature, these scammers have many identities which get created / dumped whenever necessary. We also don’t want to get sued for deformation.

More importantly, it’s key to spot common themes or types of scams, which are broadly:

  1. “We’ll invest via our paperwork”
  2. “Here is a loan directly to you or with a PG”
  3. “We want commission in cryptocurrency”
  4. “To invest we’ll need a funded by you”
  5. “Great, we’ll invest in you after very very little DD. Oh, you only want £200k? We’ll give you £400k but…”

Please note that the non-Thai funding legalization documents is different from what you reference on your email. The legalization done at the embassy is normal legalization of documents done in all embassies. The document I am referring to is done here in Thailand via the administrative court and they will assign a commercial investment competent personnel who will be in charge of the regulatory process.   Tony Kemp point 1:

An investment Security bond is an insurance coverage on investment capital to hedge against financial losses and operational risks resulting from unforeseen contingencies such as a change in board members, denial of contract, project failure, malfeasance, death, pandemic, economic slowdown, force majeure, an act of God, etc.

It can be likened to a Surety bond and equally covers Directors and Officers (D&O) liability insurance which is a common component of business licensing.

The ISB implies three parties that are bound by a contractual agreement. Herein, GoPower Ltd will be the principal of the bond, the obligee is the entity requiring it (i.e. Kiyan Holdings Co Pte Ltd), and the surety is the bond provider.

The investment security bond certificate, "ISB" presents a third party option that brings a form of guarantee through insurance coverage. In that case, making a full loss of the principal is not a prime risk factor. You, however, know that there is no guarantee that any investment would go as planned upon initial attempts. Via smart investing - the ISB guarantees that the insurance would indemnify GoPower Ltd  100% of the principal value of our investment capital under circumstances wherein the investment capital inputted into GoPower Ltd couldn't produce the expected outcome as written on paper leading to any possible loss or unplanned dilution. Instead of bearing complete losses as equity partners, the insurance would reimburse GoPower Ltd  to ensure the indicated project phase as written in the business plan is being executed. In scenarios wherein the investment capital has been exhausted and the project isn't viable or being abandoned, Kiyan Holdings Co Pte Ltd would be indemnified by the insurance.

The ISB is a guarantee that GoPower Ltd will perform its obligations under contracts and will follow any applicable rules and regulations. If GoPower Ltd  fails to deliver on what a contract stipulates or violates local laws and regulations, the obligee (i.e. Kiyan Holdings Co Pte Ltd) can file against the bond.

The ISB protects both the investor and entrepreneur from any future discrepancy in the course of their business dealings. It insures against personal losses, and can also help reimburse entrepreneurs for the legal fees or other costs incurred in defending lawsuits filed against the business. It protects entrepreneurs from the possessive right of their personal assets in a case of bankruptcy of the business.

It guarantees the prioritization of the investment capital above other financial instruments in a case of bankruptcy or liquidation of assets of the company. It ensures the continuity of the transaction under the terms agreed in the indenture even in a case of death, malfeasance, or illness of any partner.

This must be procured upfront by GoPower Ltd  from any insurer domiciled in Asia and willing to underwrite the risks to ensure every prospect of financial credibility to enable the entire board members to entrust the investment funds to your company. With this in place, we are certain that your company's operations have ISB backing and would be indemnified in case any of the above-insured events occur.

In a case GoPower Ltd  doesn’t have an insurance company to underwrite these risks, we could aid you with the contact details of an insurance company.
