A share split is an action that increases the number of a company’s shares by dividing existing shares into multiple new ones. The total value of a shareholder's investment remains the same — only the number and nominal value of each share changes.
Example: If a company carries out a 1:10 share split, every 1 share becomes 10 shares. A holding of 100 shares becomes 1,000, but the total value remains unchanged.
UK companies may carry out a share split to:
Reduce the nominal value per share
Simplify investment terms or prepare for a funding round
Make share ownership more accessible
Present a cleaner, more investor-friendly cap table
Note: After a share split, you must file an SH02 form with Companies House to update your company's official records. This can be done before or after updating the share split on FounderCatalyst — but it must be filed to remain compliant. View our SH02 filing guide
Follow these steps to update your company’s share structure on the platform:
Log into your FounderCatalyst account.
Navigate to the “Cap Table” section from the left-hand menu.
In the top-right corner of the Cap Table page, click the “Split Shares” button.
Input the share split ratio in the format:
1 : X
For example, enter 1 : 10 to split every 1 share into 10.
The cap table will be updated automatically based on the split ratio.
Carefully review the updated cap table to ensure all figures and holdings are accurate.
Tip: You may want to export or download the updated cap table for your records or investor reporting.
